Terms and Conditions
Effective: May 12, 2011
The Contractor Plus Program (the "Program") is a commercial customer rewards program offered by The Home Depot of Canada, Inc. ("The Home Depot"). To be a Member of the Program, you must be a resident of Canada who is a Cardholder (defined below) of an active Canadian Home Depot Commercial CRC or PROX credit card (each, a "Home Depot Commercial Credit Card") account, have a valid email address with which we can provide regular program administration communications, and have opted in to the Program. As a Member of the Program (a "Member") Cardholders and Authorized Buyers (also defined below) can earn points ("Reward Points") for Qualifying Purchases (defined below) using a Home Depot Commercial Credit Card. Reward Points can only be redeemed by Members for gift cards issued by The Home Depot ("Gift Cards").
By opting in to the Program, and by your continued participation in it, you agree to these Terms and Conditions, including any amendments which may be made by The Home Depot from time to time in its sole discretion. Please review these Terms and Conditions carefully, and return to the Program website at www.contractorplus.ca (the "Website") regularly to check for amendments.
The Home Depot is committed to serving you and we thank you for your business. We hope the Program demonstrates our commitment to serving your needs and our appreciation for your business.
1. Eligibility, Registration and Membership
The Program is open only to residents of Canada who are Cardholders of Home Depot Commercial Credit Card accounts. Under these Terms and Conditions, a "Cardholder" is an individual or entity that has been issued a Home Depot Commercial Credit Card account in his/her/its name. Cardholders of Home Depot Commercial Credit Cards issued to government entities, if any, cannot become Members or collect Reward Points. There is no Membership fee to participate in the Program.
If you are not already a Cardholder, you must first successfully apply for a Home Depot Commercial Credit Card. If you are a Cardholder, visit the Website to register. Once your registration has been processed, you will receive confirmation of your status as a Member in the Program by email. If you cannot provide a valid email address with which we can provide regular program administration communications, Home Depot will not be able to register you in the program. If you register for the Program shortly after being approved for a Home Depot Commercial Credit Card, there may be a delay before you receive confirmation of your Program Membership. You will receive an email to your valid email address advising you that your Membership in the Program is pending. Reward Points will accrue from the date of issuance of the email confirming your status as a Program Member or, in the case of new Cardholders, the date of issuance of an email advising you that your Membership is pending (each, a "Membership Date"). You will only be entitled to access your Reward Points account and to redeem Reward Points once your Membership in the Program is confirmed via email. Beginning as of your Membership Date, you will be eligible to collect Reward Points for Qualified Purchases made by you or Authorized Buyers on your Home Depot Commercial Credit Card account. Under these Terms and Conditions, an "Authorized Buyer" is an individual or entity other than the Cardholder authorized to charge transactions to the Cardholder's Home Depot Commercial Credit Card Account. Qualified Purchases made by Authorized Buyers will contribute to the Reward Points of Cardholders, but Authorized Buyers may not be Members and may not collect, view or redeem Reward Points themselves. All Authorized Buyers under a Cardholder's Commercial Credit Card account will be automatically associated with that Cardholder's account as of the Cardholder's Membership Date for the purposes of the Cardholder earning Reward Points under the Program. Additionally, any new Authorized Buyers added to a Cardholder's Home Depot Commercial Credit Card account after the Cardholder's Membership Date will also automatically be associated with that Cardholder's account for the purposes of the Cardholder earning Reward Points under the Program.
Providing false information or omitting any information required to complete a Home Depot Commercial Credit Card application or Website registration may be grounds for denial or termination of Membership in the Program, and/or cancellation of any Reward Points collected.
NOTE: Effective June 25, 2009, only Cardholders may be Members in the Program. On June 25, 2009, the Membership of any Authorized Buyers who were Members in the Program but not Cardholders will be terminated. Until June 1, 2009, Authorized Buyer Members may redeem any Reward Points earned to date. Reward Points will not be automatically redeemed. Any Reward Points not redeemed by the Authorized Buyer Members prior to June 1, 2009 will automatically be added to the Reward Points of the Cardholder account associated with that Authorized Buyer, provided that the Cardholder is a Member in the Program, effective on or about June 25, 2009, and Authorized Buyers will no longer have any claim to such Reward Points. If the Cardholder associated with the Authorized Buyer is not a Member of the Program on June 25, 2009, the Reward Points earned by the Authorized Buyer after June 25, 2009 will continue to accrue and be held in a suspended status, where they will be held unredeemable unless and until the Cardholder becomes a Member in the Program.
2. Qualifying Purchases
Under these Terms and Conditions, "Qualifying Purchases" are purchases made by a Member or an Authorized Buyer using an active Home Depot Commercial Credit Card at The Home Depot retail stores in Canada excluding taxes, purchases of gift cards or purchases made at subsidiaries of The Home Depot. Qualifying Purchases are subject to change from time to time. Please confirm the then-current Terms and Conditions posted on this Website at the time of purchase. A Home Depot Commercial Credit Card must be used at the time of purchase to collect Reward Points. Reward Points may not be collected retroactively on past purchases or on purchases made prior to the Membership Date.
3. Collecting Reward Points
Reward Points can be collected based on the amount of each Qualifying Purchase, after any applicable discounts, coupons, rebates or other offers are applied, and before taxes. Reward Points are collected on each Qualifying Purchase. The total value of Qualifying Purchases made on a given Home Depot Commercial Credit Card account in a given year (see "Anniversary Dates" below) will affect the rate at which a Member will accumulate Rewards Points as follows:

*At total spend over $249,999 (the "Maximum Spend"), membership in the Program will be automatically suspended. Members will have twelve (12) months in which to redeem Reward Points or they will be forfeited. Members who exceed the Maximum Spend will be contacted by The Home Depot and may join the Premier Program. Alternately, they may wait until their Anniversary Date and resume accumulation of Reward Points at the Silver Tier at that time. Example 1: On Qualifying Purchases totaling $60,000 a Member can collect 175,004 points.

Reward Points will be posted to your Reward Points Account within two (2) weeks of a Qualifying Purchase. Your updated Reward Points total can be viewed in your Reward Points Account information on the Website. All Reward Points totals will be deemed correct unless a claimed discrepancy can be substantiated by the Member to the satisfaction of The Home Depot. Discrepancies must be addressed to Member Services within three (3) months of the purchase date.
4. Anniversary Dates
The Tiers (Silver, Gold, Platinum) at which Members can collect Reward Points reset each year on the Member's "Anniversary Date", the annual anniversary of the date on which the Member's registration for the Program was processed. For any Member who registered prior to April 27, 2009, the Anniversary Date will be the 1st of January. Therefore, effective January 1, 2010 (and each year thereafter on January 1) those Members resume collecting Reward Points at the Silver Tier ($0 spend), regardless of the Tier at which they were collecting points previous day. For Members who enrolled after April 27, 2009, the Anniversary Date will be day of their Membership Date.
Rewards Points do not expire save and except as set out in Section 7. If your Home Depot Commercial Credit Card account has $0 in spend for a continuous, uninterrupted period of twelve (12) months, the Reward Points in your Reward Points account will be declared void However, please remember that a Member will not be able to earn or redeem Rewards Points if their Home Depot credit card account is not in Good Standing at the time Rewards Points would otherwise be earned or at the time of redemption, as the case may be. For the purposes hereof, "Good Standing" means, in respect to a Member's Home Depot credit card account, the status of not being more than two (2) billing periods past due according to Citi Cards Canada Inc.'s standard credit risk policies in effect from time to time.
Any and all returns of merchandise from Qualifying Purchases shall be subject to The Home Depot's return policy. Reward Points will be deducted from a Member's Reward Points account for merchandise returned from prior Qualifying Purchases. Deductions in Reward Points for returned merchandise shall be completed within 2 weeks of the return. Your updated Reward Points total can be viewed in your Reward Points account information on the Website. Reward Points will be deducted following the same formula under which they collected, regardless of whether the refund is made to The Home Depot Commercial Credit Card or in cash or otherwise. However, the number of Reward Points deducted as a result of the refund may not be equal to the number of Reward Points originally earned on the purchase.
Example 3: A Member with Qualifying Purchase value of $60,000 could collect 175,004 Reward Points. A return of $1,000 dollars in merchandise (excluding taxes) would then result in the deduction of 5,000 Reward Points from that total:

If a Member has a zero (0) Reward Point account balance, or insufficient Reward Points from which to deduct the Reward Points of returned merchandise, the result may be a negative Reward Points account balance. If a Member's Reward Points Account balance is less than or equal to zero, he or she is not subject to any penalty, but will not be eligible to redeem any Reward Points until she/he has a minimum of 2,500 points in his/her Reward Points Account.
6. Redeeming Reward Points
Members can redeem Reward Points at any time by logging on to the Website. Reward Points may only be redeemed for Gift Cards, and must be redeemed in increments of 2,500 Reward Points ($25 in Gift Cards). Members must redeem Reward Points from the Website; Gift Cards will not be automatically mailed to customers at year end, the Anniversary Date, or any other time.
To successfully redeem Reward Points, the Member must have sufficient Reward Points in his/her Reward Points account at the time of the request for redemption, and at the time the redemption request is processed. Requests will be processed and Gift Cards will be mailed to the Member within three (3) weeks of ordering. Shipments cannot be made outside of Canada. The Home Depot is not responsible for Gift Cards that are lost, late, misdirected, mutilated or damaged. Member must activate Gift Cards upon receipt by following the instructions enclosed with the Gift Card.
Reward Points may not be transferred, shared, gifted, pooled or assigned, and must be redeemed by the Member him/herself. Upon the death (or, in the case of a company, dissolution) of any Member, any Reward Points collected up to the time of death or dissolution will be deemed void and Membership in the Program will be terminated.
7. Account Status
If your Home Depot Commercial Credit Card account is suspended or cancelled under the terms of that account, or is inactive and/or delinquent, then the ability to collect and redeem Reward Points will be suspended immediately. Upon notification from The Home Depot or its authorized agent that the account has been re-established, the Member may resume Reward Point collection and/or redemption. Any Reward Points collected, and Tier levels achieved, prior to suspension will remain valid and unaffected by any such suspension.
If Your Home Depot Commercial Credit Card account is permanently closed under the terms of that account by The Home Depot Credit Card provider, the Reward Points in your Reward Points account will be declared void.
If your Home Depot Commercial Credit Card account has $0 in spend for a continuous, uninterrupted period of twelve (12) months, the Reward Points in your Reward Points account will be declared void.

9. Program Modifications
The Home Depot reserves the right to cancel, suspend, modify or amend the Program or these Terms and Conditions at any time with or without prior notice. Any such changes will be made in new Terms and Conditions posted on the Website, and will be effective from the date of posting unless stated otherwise. You are solely responsible for checking the Website to be aware of the current Terms and Conditions for the Program.
From time to time, The Home Depot may (but is under no obligation to) offer special bonuses, rewards, gifts or benefits ("Rewards") to Members. Eligibility for such Rewards will be determined by The Home Depot in its sole discretion, and may be subject to additional terms and conditions released in association with such a Reward offer.
Any applicable federal, provincial and local taxes connected to the redemption of Points or receipt of Gift Cards through the Program are the sole responsibility of the Program Member. The Home Depot will not be responsible for any tax consequences which may flow from participation in the Program.
11. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. All decisions regarding the interpretation of these Terms and Conditions shall be at the sole discretion of The Home Depot, and shall be final and binding in all respects. To report an apparent discrepancy, or to inquire with respect to your Reward Points Account balance, please contact Member Services. If you disagree with any amendments to the Program or to these Terms and Conditions, your sole recourse will be to terminate your Membership in the Program.
In no event shall The Home Depot's liability with respect to the Program, the Reward Points, or the Gift Cards, including liability for negligence or breach of contract, be greater than the value of the Reward Points claimed at the time the dispute arose. Any proceedings relating to matters regarding the Program shall be brought exclusively in the courts of the City of Toronto in the Province of Ontario and orders of such Ontario courts shall be binding on The Home Depot and Program Members.
12. General Terms and Conditions
- Reward Points have no cash value, cannot be exchanged for cash or credit, may not be used with any other offer, promotion or discount, cannot be combined with cash to obtain a Gift Card, and cannot be earned from or transferred to any other account or rewards program.
- Program Members have no ownership interest in collected Reward Points, and collected Reward Points do not constitute property of the Members. Use of the word "earn" in marketing materials in relation to the Program shall mean "collect" and shall not infer that the Reward Points have any value until they are presented for redemption. Points may not be purchased or sold and are not transferable except as otherwise stated herein.
- This Program is void where prohibited by federal, provincial or local law.
- By registering to become a Member, you represent and warrant that you are doing so with the knowledge and consent of your employer, if applicable, and that your participation in the Program is not prohibited or restricted by any company or employment policies relevant to you.
- Despite our best efforts to ensure accuracy, errors occasionally occur. The Home Depot reserves the right to correct such errors at any time even if it affects pending Reward Point redemption.
- By enrolling in the Program you accept the Terms and Conditions and release The Home Depot and hold The Home Depot and its authorized agents harmless from any claim, liability or damage relating to the Program or Reward Point redemption.
- Fraud or abuse relating to the collection of Reward Points or any redemption will result in your forfeiture of all collected Reward Points, as well as termination of your Program Membership. The Home Depot reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of these Program Terms and Conditions.
- Reward Points have no cash value and cannot be purchased.
- As a condition of Membership, Members may receive Contractor Plus points statements, Program updates and other related materials which will be posted on the Website at the discretion of The Home Depot, and may be mailed or emailed to the Member upon his/her request. The Home Depot reserves the right to cease mailing of Contactor Plus program updates and related materials to any Member.
